By accessing the website at digiamenity.com, contacting Digi Amenity for services, or entering into any service agreement with us, you agree to be legally bound by these Terms and Conditions. If you do not agree to these terms, please refrain from using our services.
These terms apply to all clients, visitors, and users who access or use any service offered by Digi Amenity, a digital marketing agency headquartered in Mumbai, Maharashtra, India.
Digi Amenity provides a range of digital marketing and technology services. The specific deliverables, timelines, and pricing for each engagement are defined in the individual service proposal or agreement provided to the client.
Digi Amenity reserves the right to modify, suspend, or discontinue any service at any time. Clients will be notified within a reasonable time prior to such changes where possible.
All projects commence upon receipt of a signed proposal, purchase order, or written confirmation (including email) from the client, along with any agreed upfront payment.
The scope of services is defined in the project proposal or service agreement. Any additional work requested outside the agreed scope — including extra revisions, new features, or additional platforms — will be quoted and billed separately.
For recurring services (e.g. monthly SEO retainers, social media management), the engagement continues on a month-to-month basis unless a fixed term is specified in writing.
All fees are quoted in Indian Rupees (INR) unless otherwise agreed. Payment terms are specified in the proposal. The standard structure is:
Late payments (beyond 15 days of due date) may attract a penalty of 2% per month on the outstanding amount. Digi Amenity reserves the right to pause or suspend active services until overdue invoices are cleared.
Refunds are not provided for work already completed or for ad spends already deployed on third-party platforms (Google, Meta, etc.). In the event of a dispute, the matter shall be escalated as per Section 10.
Upon full payment of all fees, the client receives full ownership of the final deliverables specifically created for them — including website designs, logo files, ad creatives, and written content.
Digi Amenity retains ownership of all underlying methodologies, tools, templates, frameworks, code libraries, and proprietary processes used to produce the deliverables. These remain the exclusive intellectual property of Digi Amenity.
The client warrants that all materials (logos, images, text, brand assets) provided to Digi Amenity are owned by the client or appropriately licensed. The client indemnifies Digi Amenity against any third-party intellectual property claims arising from client-provided materials.
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement — including business strategies, financial data, customer information, marketing plans, and technical details.
This obligation continues for a period of two (2) years following the conclusion of the engagement and does not apply to information that is already publicly available, independently developed, or required to be disclosed by law.

Delays caused by the client's failure to meet these obligations may result in project timeline extensions without any corresponding reduction in fees.
Digi Amenity provides digital marketing services on a best-effort basis. While we strive for excellence in every engagement, we do not guarantee specific results such as rankings, return on ad spend (ROAS), follower counts, or revenue targets, as these are influenced by factors outside our control including market conditions, platform algorithm changes, and client-side factors.
To the maximum extent permitted by applicable law, Digi Amenity's total liability for any claim arising from a service engagement shall not exceed the total fees paid by the client for that specific service in the preceding 3 months.
Digi Amenity shall not be liable for any indirect, incidental, consequential, or special damages — including loss of data, loss of business, or reputational harm — even if advised of the possibility of such damages.
Either party may terminate a monthly retainer engagement by providing 30 days' written notice. For fixed-term projects, termination before completion will require the client to pay for all work completed up to the date of termination.
Digi Amenity may terminate an engagement immediately and without notice if the client:
Upon termination, Digi Amenity will transfer all fully paid-for deliverables to the client. Access to third-party accounts managed by Digi Amenity will be handed back within 7 business days of final settlement.
These Terms and Conditions are governed by the laws of the Republic of India. Any disputes arising out of or in connection with these terms or any service engagement shall first be attempted to be resolved through good-faith negotiation between the parties.
If negotiation fails within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
Digi Amenity reserves the right to update or revise these Terms and Conditions at any time. Changes will be posted on our website at digiamenity.com with the updated effective date.
Continued use of our services following any such update constitutes acceptance of the revised terms. We encourage clients to review this page periodically.
